SRL vor fi în drept să emită obligațiuni

În vederea finanţării activității, societățile cu răspundere limitată vor fi în drept, la decizia adunării generale a asociaților, să emită obligaţiuni, în cazul în care statutul entității conține această prevedere. SRL emitentă de obligațiuni, pe toată durata deținerii acestor valori mobiliare, va fi obligată să dezvăluie public pe pagina web a sa și/sau publică într-o publicație de circulație națională și asigură neîntârziat, la cererea oricărui deținător de obligațiuni, accesul la acte/informații în condițiile Legii nr.171/2012 privind piața de capital. 
 
Ministerul Economiei și Infrastructurii a elaborat proiectul de lege pentru modificarea unor acte normative, acesta vizând Legea nr.135  privind societăţile cu răspundere limitată și Legea nr.171. Documentul a fost examinat în cadrul ședinței secretarilor de stat.

 

Conform proiectului, lista competenței exclusive a adunării generale a asociaților va fi completată cu prevederea ce ține de luarea deciziei cu privire la emisiunea de obligațiuni, dar și de aprobare a dării de seamă asupra rezultatelor emisiunii respective.

 

Totodată, proiectul prevede că administratorul societăţii poartă răspundere materială deplină pentru prejudiciile cauzate de el societăţii, inclusiv prin plăţi ilegale făcute asociaţilor, fie prin efectuarea sau neefectuarea de plăți ale dobânzilor sau altor venituri aferente obligaţiunilor, încălcând prevederile Legii nr.135, ale statutului SRL sau ale deciziei de emitere a obligaţiunilor.

 

Concomitent, ținând cont de prevederile Codului Civil modernizat, se va lua în calcul că constituirea gajului pentru garantarea unei sume de bani în cazul emiterii de obligațiuni asigurate cu bunuri proprii ale emitentului, precum și exercitarea dreptului de gaj, este propusă investirea acestuia cu formula executorie, aceasta fiind prevăzută în contractul de vânzare-cumpărare a obligațiunilor. Conform autorilor, formula respectivă este aplicată la momentul actual doar pentru contractele autentificate notarial, iar pentru actele prin care este instituită garanția pentru emiterea obligațiunilor o asemenea autentificare nu se solicită.
