2. (29.1.6.53) Va fi oare obligată societatea cu răspundere limitată, administratorul căreia este și unicul fondator, să prezinte darea de seamă forma IPC18 în cazul în care aceasta nu are angajați?

Potrivit prevederilor art.128 din Codul muncii și art.2 din Legea salarizării nr.847/2002, salariu reprezintă orice recompensă sau câștig evaluat în bani, plătit salariaților de către angajator sau de organul împuternicit de acesta, în temeiul contractului individual de muncă, pentru munca executată sau ce urmează a fi executată. În acest context, ținând cont de caracterul sinalagmatic al contractului individual de muncă, care presupune existența a două părți (angajatorul și salariatul), în cazul fondatorului societății cu răspundere limitată care este concomitent și conducătorul (administratorul) unității respective, lipsește faptul prezenței angajatorului și a salariatului. În cazul menționat nu are loc încheierea contractului individual de muncă și, respectiv, lipsește faptul primirii salariului în sensul Codului muncii sau al Legii salarizării. Prin urmare, societatea cu răspundere limitată, administratorul căreia este și unicul fondator, care în luna de gestiune nu achită plăți în folosul persoanelor fizice, nu calculează contribuii de asigurări sociale și nu are angajați, nu are obligația de a prezenta darea de seamă forma IPC18 pentru perioada de gestiune.
